Regulations of the Council Members

Work Regulations for the Council of Chinese Association of Automation (Trial)

 (Adopted by the Tenth National Member Representative Assembly of the Chinese Association of Automation)


Chapter I General Provisions

1. This Regulation is specially formulated to implement the requirements of the Ministry of Civil Affairs and the Chinese Association for Science and Technology on the organization and management of social organizations, strengthen the functions of the Council of Chinese Association of Automation (hereinafter referred to as the Council) and the leadership, clarify the responsibility, standardize procedures, and improve efficiency.

2. This regulation is formulated based on the spirit of relevant documents such as the General Principles of the National Society promulgated by the Chinese Association for Science and Technology (CAA), and in accordance with the relevant provisions on the work of the Council in the Articles of CAA, summarizing the experience of organizing and managing, and learning the regulations from similar organizations at home and abroad.


Chapter II Composition of the Council

3. The Council is the executive body of the National Member Representative Assembly, and it is accountable to the National Member Representative Assembly. When the Member Representative Assembly is not in session, the Council leads the work of CAA. The term of each Council is five years. 

4. The Standing Council is established by CAA, and it is elected by the Council. The Standing Council is accountable to the Council.   

5. The Council (the Standing Council) shall be established in accordance with the Articles of CAA and shall exercise its functions and powers within the limits prescribed by the Articles of CAA. 

6. Principles of the Composition of the Council (the Standing Council)

 (1) The principle of determining the size of the Council is: refer to the total number and distribution of members; according to the professional structure, age structure, and the activities of the provinces, municipalities, autonomous regions (hereinafter referred to as provincial-level associations), technical committees, and working committees; pay attention to the enterprise members with stronger scientific and technological strength;

 (2) And refer to the work and distribution of the members of the previous Council. The number of standing councils shall not exceed 1/3 of the number of members of the Council; 

 (3) The Council members (Standing Council member) shall have certain representativeness and authority in this professional field, and the proportion of experts, scholars, and scientific and technical workers and managers working in the front line of production, education and research shall be appropriate;  

 (4) The adjustment of members of each session shall not be less than 1/3;

 (5) The newly recommended candidate of council members should be 55 years of age or younger in principle, with a title of vice senior (inclusive) or above. Academicians of the two academies, representative of the NPC, members of the National Committee of the Chinese People’s Political Consultative Conference, and current council members are not subject to this restriction.   

7. A position of unit council member shall be established to facilitate the development of the work of the Council. Unit council member shall be the representative of the relevant units, and they have all the powers of the council member and fulfill their obligations. The unit council member shall be elected by the Member Representative Assembly and shall pay the dues as required during the term of the Council.   

8. If the representatives of the unit council member, such as the provincial associations, need to be changed, it can be conducted after its legality and validity are reviewed by the Council.


Chapter III Responsible Persons of the Council

9. The Presidents, vice Presidents, secretary-general and standing council member of the Association shall be elected by the Council by secret ballot. The number of votes of the elected persons shall be more than half. The candidates of Presidents, vice Presidents, and standing council member are elected by the Council through democratic consultations. The candidate must have a clear intention to agree to serve.  

10. The qualification of the Presidents, vice Presidents and secretary-general shall be implemented in accordance with the provisions of the articles of association.

11. The Presidents of the Council exercises the following functions and powers:

 (1) Convening and presiding over the Council and the Standing Council;

 (2) Examining the implementation of the resolutions of the National Member Representative Assembly and the Council (the Standing Council);

 (3) Signing relevant important documents on behalf of the Association.

12. The Presidents of the Council is the legal representative of the Association. If due to special circumstances that the vice Presidents or the secretary-general shall be the legal representative, it shall be submitted to the Chinese Association for Science and Technology for agreement and approved by the Ministry of Civil Affairs.

The legal representative of the Association shall not be the legal representative of other national societies. 

13. Before the Association changes the Council or replaces the legal representative, the legal representative must accept the financial audit according to law.

14. The Vice Presidents, as a member of the top leadership of the Association, shall assist the Presidents in doing the following major tasks:

 (1) Participating in the working meeting of the Presidents;

 (2) In charge of different aspects of the work according to the division of labor;

 (3) Accepting the appointment and entrustment of the Presidents, to attend relevant important meetings, major events and sign relevant documents on behalf of the Association.

15. The Secretary-general shall exercise the following functions and powers under the leadership of the Council:

 (1) Presiding over the office to carry out daily work and organize the implementation of the annual work plan;

 (2) Coordinating the work of various branches, representative offices and entities;

 (3) Nominating the Vice Secretary-general and the principals of the various agencies, branches, representative offices and entities, and submitting them to the Council (the Standing Council) for review and approval;

 (4) Hiring full-time staff members of offices, representative offices and entities;

 (5) Handling other daily affairs.

16. The Secretary-General of the Association shall, in principle, be from the subordinate units of the Association. If the Secretary-General is part-time, the office shall establish a full-time Vice Secretary-General and exercise the functions and powers of the Secretary-General within the scope of authorization.


Chapter IV Council Meeting

17. Establish a working meeting system for the Presidents of the Council and make decisions and leadership on major issues during the period when the Standing Council is not in session. The working meeting of the Presidents of the Council is chaired by the Presidents from time to time and is attended by the vice Presidents, the secretary general and relevant personnel. The minutes formed in the working meeting of the Presidents shall be notified to the Standing Council.

18. A week before the convening of the Council, the Standing Council and the Presidents' Working Meeting, the Secretariat shall issue a formal notice to the attendees, of which the contents include the time and place of the meeting, the draft agenda and the necessary information.

19. The Council (the Standing Council) may convene in a concentrated manner or in the way of communication. However, when it involves important matters such as appointment and dismissal of personnel, establishment of branches, and rulemaking, the meetings must be held in a concentrated manner. 

20. The Council (the Standing Council) can only be convened in the presence of more than 2/3 of the council members (the Standing Council). When the number of attendees of the Council (the Standing Council) does not reach the quorum, it shall be held in accordance with the general working meeting, and no resolution shall be formed in the name of the Council (the Standing Council).    

21. When more than one-third of the council members propose to convene a Council and more than one-third of the standing council members propose to convene a Standing Council, the Presidents shall convene a corresponding meeting within three weeks after receiving the proposal.  

22. Prior to the convening of the Council (the Standing Council), the Council (the Standing Director) may propose a motion to the Council (the Standing Council), and the convener of the meeting decides whether to include it in the agenda of the meeting. If the council members of the motion (the Standing Council) has reached one-third of the quorum, the issue must be placed on the agenda of the meeting.  

23. No council member (standing council member) shall be entitled to directly refer a matter to the Council (the Standing Council) for a vote, unless it is authorized by the Council (the Standing Council) or the Presidents. The council member has no right to convene the Council (the Standing Council).

24. When the Council (the Standing Council) is convened, participants shall be given an opportunity to express their opinions. Speakers shall make statements within the given time which is controlled by the moderator, and the moderator has the right to terminate the overtime speech of any one speaker. 

25. The Council (the Standing Council) shall form the subject of the resolution, which shall be approved by vote in the meeting.

26. The meeting of the Council (the Standing Council) shall arrange special personnel to record the discussion of the meeting. The Secretariat should form a draft meeting minutes within one week after the meeting and solicit opinions from all participants. The council members (standing council member) must confirm within one week, otherwise it will be deemed to agree to the minutes. For those who insist on dissent, their opinions should be recorded in the minutes. Once the minutes have been finalized, they shall be published and archived in a timely manner. No one may add, delete or modify them.

27. E-mails and faxes are important communication tools between council members (standing council member) and between council members (standing council member) and the heads of the Association. For the important information conveyed by the Presidents or other responsible person through the above tools (especially the items requiring a vote), the council members (standing council member) must reply according to the time limit, otherwise, it will be deemed to agree to the contents. The secretariat should be notified at any time if the email address or fax number of the council member (standing council member) is changed; the loss due to the wrong address or number is the responsibility of the council member (standing council member).


Chapter V Duties and Obligations of the Council Members

28. The council members (standing council member) who are unable to attend the meeting for any reason shall formally take leave from the secretariat beforehand, and the council members may entrust a representative to participate, and the representative have the right to voting. The council members (standing council member) may also submit a written opinion to the meeting when he does not entrust a representative to attend the meeting, and the council members may express any opinions on the matters agreed upon at the meeting afterwards, but may not change the relevant decision.

29. If the council member (standing council member) does not attend the meeting of the Council (the Standing Council) for two consecutive times without any reason, the qualification of the council members (standing council member) shall be automatically terminated, which is confirmed and announced by the Council. When the qualification of standing council member is terminated, the qualification of council members shall be retained.

30. For the content that the standing council member needs to keep confidential, the standing council member has the obligation and responsibility to keep it confidential. If there is a leak, the Presidents of the Council shall give a warning to the party on behalf of the Standing Council. If the circumstances are serious, the Standing Council has the right to request the Council to waive the qualification of the standing council member.

31. The council members (standing council member) are not allowed to speak and sign documents on behalf of the Association without authorization, except for statements made in the personal capacity and in the background of the academic appointment.

32. Any major matters such as the connection with an international academic organization in the name of the Chinese Association of Automation, the signing of an agreement, or the signing of an agreement with other associations, units or social organizations for joint activities in China shall be reported to the Presidents’ Working Meeting for research. If it is too late to go through the approval process due to time, it may be reported to the Presidents for approval before passing and filing.

33. The standing council member must complete the commissioned work in accordance with the resolutions of the Standing Council. If it cannot be completed repeatedly, the Standing Council has the right to request the Council to waive the qualifications of the standing council member.

34. The standing council member may appoint a liaison officer and the secretariat of the Association to make daily contacts, but the liaison does not have any right to make decisions and express opinions. If the liaison misrepresents or fails to communicate the information in a timely and accurate manner, it is the responsibility of the standing council member.


Chapter VI Change of the Council

35. The Council is a matter-of-course senior member of the Association and must pay the dues on time. The council members who do not pay their dues on time will automatically lose their membership and their qualifications of council members. And if it happens, the Council will notify all members

36. If a vice secretary-general or a director of the working committee acts as a council member, the qualification of council member will be terminated when he or she does not hold the above position.

37. If the position of a person who acts as a council member on behalf of the technical committee is changed, the technical committee decides whether to replace this council member. If it is replaced, it will take effect upon recommendation by the technical committee and confirmation by the Standing Council. 

38. When a technical committee is revoked or merged into other technical committees, the position of the council members on behalf of the technical committee shall be terminated; when the annual assessment of a technical committee is unqualified, the qualification of the council member on behalf of the technical committee shall be terminated; when the technical committee is qualified after rectification, it may re-recommend the director or the secretary-general to serve as a council member, and the Standing Council will confirm the entry into force.

39. When a person on behalf of the unit council member cannot fulfill the duties of the Council, the original recommended unit shall re-recommend and fill in the relevant information and report to the secretariat for the record. The position of a person who acts as a council member in the name of an organization will be terminated if this organization fails to pay the dues as rules, and the position will not be resumed during the period.   

40. The qualifications of a council member who is subject to legal sanctions for breaking the law, or who is punished for severely violating the articles of the Association, shall be terminated.

41. The position of standing council member, secretary-general, vice Presidents or Presidents of the Council shall be automatically terminated if his or her qualification of the council member is terminated; the position of the secretary-general, vice Presidents or Presidents of the Council shall be appointed if his or her qualifications of standing council member shall be terminated. 


Chapter VII Supplementary Provisions

42. These Regulations shall become effective after their adoption by the Council, and shall be interpreted by the Standing Council.
